Terms of Service

1. Introduction & Acceptance

Welcome to JustB. These Terms of Service ("Terms") govern your access to and use of the Justb platform, website, and associated services (collectively, the "Platform"), operated by Justb LLC.

By registering for or using the Platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to any part of these Terms, you must not use the Platform.

Justb is a performance-based marketing marketplace that connects content creators, streamers, and influencers ("Creators") with licensed iGaming, sports betting, and prediction market brands ("Brands"). Justb is not a gambling operator and does not provide gambling services directly.

2. Eligibility

To use the Platform you must:

• Be at least 18 years old, or 21 years old where required by the laws of your jurisdiction.
• Be legally permitted to participate in advertising or promotional activities for gambling or iGaming in your jurisdiction.
• Provide accurate, current, and complete information at registration and keep it updated.
• Not be located in a jurisdiction where use of the Platform is prohibited.

Justb may request identity verification (KYC) at any time and may suspend or terminate accounts that fail to comply with verification requirements or applicable laws.

3. Platform Services

Justb provides:

• Campaign management tools allowing Brands to create deals and Creators to receive and fulfill them.
• Affiliate link and QR code generation for performance tracking.
• Tracking and reporting of campaign performance metrics (e.g., clicks, registrations, NDCs, revenue share).
• Payment processing and invoice generation between Brands and Creators.
• Compliance, responsible gaming guidelines, and support resources.

Justb does not guarantee specific campaign results, conversion rates, or earnings. Performance depends on factors outside Justb's control.

4. Compliance with Laws

All users agree to comply with:

• Gambling advertising laws and regulations applicable to their jurisdiction and the target audience of their content.
• Age-restriction requirements (18+ or 21+ as applicable) including displaying required disclaimers in all promotional content.
• Responsible gaming messaging obligations.
• Anti-money-laundering (AML) and know-your-customer (KYC) requirements.
• Platform-specific rules of any social media or streaming platform used to fulfil campaign obligations.

Justb reserves the right to remove content, pause campaigns, withhold payments, or terminate accounts for violations of applicable law or these Terms.

5. Payments & Compensation

• Creators are compensated according to agreed deal terms (e.g., CPA, revenue share, hourly/streaming rates, fixed fees, or hybrid models).
• Justb may deduct a platform service fee or commission from payouts as communicated to users.
• Payments may be withheld, adjusted, or reversed in cases of suspected fraud, invalid traffic, chargebacks, or breach of these Terms.
• All users are solely responsible for reporting and paying applicable taxes in their jurisdictions.
• Payment timelines are subject to the agreed billing cycle between Justb and the Creator.

6. Intellectual Property

• Justb retains all rights in its Platform, software, trademarks, and branding.
• Users grant Justb a limited, non-exclusive licence to display their names, usernames, profiles, and related content for campaign management and promotional purposes within the Platform.
• Users are solely responsible for ensuring they hold all necessary rights to any content (images, music, video, logos) used in or submitted for campaigns.

7. Privacy & Data

Your use of the Platform is governed by our Privacy Policy and Cookie Policy. By using the Platform, you consent to the collection, processing, and sharing of your data as described in those policies.

8. Responsible Gaming

• Justb is committed to promoting responsible gaming practices.
• All promotional content must include appropriate age-restriction labels and responsible gaming messaging as required by local law.
• Creators must not target, appeal to, or engage minors or vulnerable individuals in their promotional content.
• Creators should familiarise themselves with the responsible gaming requirements of each Brand they work with.

9. Prohibited Conduct

You may not:

• Use the Platform for any unlawful purpose or in violation of any applicable regulation.
• Provide false, misleading, or incomplete information during registration or in campaign submissions.
• Attempt to generate fraudulent conversions, fake traffic, or inflate performance metrics by any means.
• Promote unlicensed gambling operators or campaigns in restricted or prohibited jurisdictions.
• Interfere with, disrupt, or attempt to gain unauthorised access to the Platform or its infrastructure.
• Share your account credentials with third parties or allow others to use your account.
• Reverse-engineer, scrape, or otherwise extract data from the Platform without written permission.

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Justb does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• Justb is not liable for any losses or damages arising from third-party gambling activities, brand decisions, or campaign outcomes.
• Justb's total aggregate liability to any user is limited to the total service fees paid by that user to Justb in the three (3) months preceding the claim.
• Justb is not liable for indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profit, revenue, data, or business opportunity.

12. Indemnification

You agree to indemnify, defend, and hold harmless Justb, its officers, directors, employees, affiliates, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of or access to the Platform.
• Your violation of these Terms or any applicable law or regulation.
• Your infringement of any third-party rights.
• Any content you submit to or publish through the Platform.

13. Termination

• Justb may suspend or terminate your account at its sole discretion if you violate these Terms, applicable laws, or act in a manner that harms the integrity or reputation of the Platform.
• Justb may discontinue or modify any feature or the Platform itself at any time with reasonable notice.
• You may close your account at any time by contacting support@justb.ai.
• Upon termination, provisions relating to intellectual property, liability, indemnification, and governing law shall survive.

14. Governing Law & Dispute Resolution

• These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-law provisions.
• Any disputes arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Kent County, Delaware, unless both parties agree in writing to alternative dispute resolution.
• You waive any objection to the laying of venue in such courts.

15. Changes to These Terms

Justb may update these Terms from time to time. We will notify you of material changes via email or a notice displayed on the Platform. Your continued use of the Platform after the effective date of any update constitutes your acceptance of the revised Terms.
